Welcome to Tally Software, Inc. ("Tally," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our services, software, and website located at www.tallyhq.com (the "Site") (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features of the Services, you may need to create an account. You agree to:

  • Take responsibility for all activities under your account.

4. Subscription and Fees

If you subscribe to any paid Services, you agree to pay all applicable fees in accordance with the terms presented at the time of purchase. Fees are non-refundable unless otherwise stated. Tally reserves the right to change pricing at any time upon notice.

5. Privacy

Your use of the Services is subject to our Privacy Policy, which can be found at www.tallyhq.com/privacy-policy. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Tally or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. This license does not transfer any ownership rights.

7. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Services will cease immediately. Sections 5, 8, 9, 10, and 11 of these Terms will survive termination.

8. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Tally does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses.

9. Limitation of Liability

To the fullest extent permitted by law, Tally and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Services, even if Tally has been advised of the possibility of such damages. Tally’s total liability for all claims arising under these Terms will not exceed the amount paid by you to Tally in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tally and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in connection with:

  • Your use of the Services;

  • Your violation of these Terms; or

  • Your violation of any rights of another party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

12. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Site and updating the "Effective Date" above. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
